Pricing questions.
Why is AG formation more expensive than GmbH?
AG requires €50,000 minimum capital (vs €25,000 GmbH), a mandatory supervisory board, a formal founding assembly (Gründungsversammlung), and more complex court review — all of which increase time, notary, and professional fees.
What are the ongoing costs of a German AG?
Annual audit requirement (Wirtschaftsprüfer) typically costs €5,000–€20,000/yr for smaller AGs. Plus Steuerberater fees, Bundesanzeiger publication, and Körperschaftsteuer/Gewerbesteuer.
Is there a difference in cost for a listed vs non-listed AG?
Yes — significantly. A non-listed AG is comparable to a GmbH in ongoing costs. A listed AG requires a BaFin prospectus (€50,000–€200,000+ for preparation), exchange admission fees, and continuous disclosure obligations.
Can I form an AG with the minimum €50,000 capital?
Yes. For a privately-held AG, €50,000 is common. Listed companies typically have higher capital for credibility and market requirements.
What is the Gründungsprüfung and how much does it cost?
The Gründungsprüfung (founding audit) is a mandatory independent audit under AktG §33 conducted by an IHK-appointed Wirtschaftsprüfer. It is triggered when any founder also serves on the Vorstand or Aufsichtsrat — true for approximately 80–90% of AG formations. The auditor confirms that capital has been properly paid in and no undisclosed agreements exist. Cost: €2,000–€5,000. Timeline: 2–4 weeks, run in parallel with other formation steps.
Is a supervisory board mandatory for a newly-formed AG regardless of size?
Yes, unconditionally. Under AktG §95, the Aufsichtsrat must consist of at least 3 members from the moment of formation. There is no grace period, no waiver, and no minimum employee threshold that triggers it — it is required from day one. The initial Aufsichtsrat is appointed at the founding assembly (Gründungsversammlung). We assist with identifying suitable supervisory board members if required.
What does a mandatory statutory audit cost for a small German AG?
Under HGB §316, every AG must have an annual statutory audit regardless of size — unlike GmbHs, where small companies are audit-exempt. For a small AG (revenues under €1M), a Wirtschaftsprüfer typically charges €5,000–€10,000 per year. Medium AGs (revenue €1–10M): €10,000–€30,000 per year. This is a significant ongoing cost compared to a GmbH of equivalent size.
What are the ongoing annual governance costs of a German AG?
Annual recurring costs for a small non-listed AG: mandatory statutory audit €5,000–€10,000; Steuerberater fees €3,000–€8,000; Bundesanzeiger publication of full accounts (AGs have no filing exemption) €200–€800; Aufsichtsrat compensation (if applicable) variable. Combined baseline: approximately €10,000–€25,000/year in governance and compliance costs — significantly higher than a GmbH of equivalent size.
Does BaFin need to approve a German AG formation?
Only if the AG will conduct regulated activities (banking under KWG, insurance under VAG, investment services under WpIG, or crypto-asset services under MiCAR). For a standard operating AG with no regulated activities, BaFin plays no role. The formation is filed with the Handelsregister (Amtsgericht) only. Always confirm your planned activities against BaFin licensing requirements before formation.
Can non-residents form a German AG?
Yes. The Aktiengesetz imposes no nationality or residency requirement on founders, Vorstand members, or Aufsichtsrat members. Foreign founders typically appear via an apostilled power of attorney at the Düsseldorf Notar. The PoA adds approximately 1–2 weeks for apostille preparation compared to a local founder appearing in person.
