Substance Considerations

A virtual office address is accepted for Handelsregister and Finanzamt purposes provided the business has genuine economic substance in Germany — director, operations, or services. If the Finanzamt challenges the business as having no German substance, a virtual address alone does not satisfy the substance argument. Goldblum advises on substance requirements during the consultation.

For non-resident-owned GmbHs where the managing director also operates from abroad: we advise on the level of German economic substance required to maintain the registered office without Finanzamt challenge.

FAQ

Common questions.

Can I use a virtual office for my GmbH registration?

Yes. A domiciliation agreement at our registered address is accepted for Handelsregister purposes under §11 GmbHG. The address appears on your Handelsregister excerpt and on all official correspondence.

Will the Finanzamt accept a virtual office address?

Yes, provided the business has genuine substance in Germany (director, operations, or services). We advise on substance requirements during the consultation for non-resident-managed GmbHs.

How quickly is mail forwarded?

Physical mail is received, scanned, and emailed to you typically the same business day. Originals can be forwarded by tracked post on request.

What happens to legal notices?

All official documents (Finanzamt, Handelsregister, court notices) are flagged immediately and forwarded by tracked mail or scanned urgently. No legal notice is held in a mail pile.

Can I upgrade to a physical office?

Yes. We have office space available in our Düsseldorf building and can facilitate an upgrade at any time. Meeting rooms are available for immediate use.

Does a virtual office satisfy German substance requirements for tax purposes?

A virtual office address alone does not create economic substance for DTA or transfer pricing purposes. For tax treaty residence, the OECD requires genuine management and control in Germany — actual decision-making by a Germany-based director. Our virtual office is appropriate as the legal registered address, but we advise clients separately on what additional substance arrangements are needed for their specific tax structure.

Can a virtual office address be used for the Gewerbeanmeldung?

Yes. The Gewerbeamt accepts the virtual office address as the Betriebssitz (business premises address) for commercial registration purposes. The Gewerbeamt may occasionally verify that the address is a real office building — a domiciliation agreement with a registered service provider (as we provide) satisfies this requirement.

Is a domiciliation agreement sufficient for Finanzamt correspondence?

Yes. The Finanzamt assigns your Steuernummer to the address registered on the Fragebogen zur steuerlichen Erfassung. All Finanzamt correspondence goes to this address. We forward all official mail same-day by scan. For time-sensitive items (Steuerbescheid, Prüfungsanordnung), we notify you immediately by email and send originals by express post.

Can a virtual office address be used for the Transparenzregister?

No — the Transparenzregister records the personal residential addresses of beneficial owners (UBOs), not the company address. The company's registered office (Sitz) is used for Handelsregister and Finanzamt purposes and can be a virtual office. UBO personal addresses must be genuine residential addresses. These are two separate registers with different disclosure requirements.

What is the minimum contract duration for a virtual office and how is it terminated?

Our virtual office agreements run on 12-month terms with automatic annual renewal. Notice period: 3 months before the renewal date. If you terminate, the Handelsregister address must be updated to a new valid German address before the agreement ends. Failure to maintain a registered address can trigger Handelsregister strike-off proceedings (Amtslöschungsverfahren) by the Registergericht.
